Terms of use

Last updated October 24, 2026 · Version 2026-10-24.1

These terms are an agreement between you and Venda Wallet ("we", "us") and cover your use of Venda Wallet as a buyer, vendor or market organizer. Please read them. You agree to them in the app before you can add money, pay, sell or organize.

Who can use it

  • You must be 18 or older, live in the United States, and be able to make a binding contract.
  • Use your own email and your own bank account, and keep your sign-in, passkeys and API keys to yourself. You're responsible for what happens with them.

What Venda Wallet is, and isn't

Venda Wallet is software that records prepaid balances between buyers and individual vendors. We never hold, receive, send or move money. We aren't a bank, a money transmitter, a payment processor or an escrow service, and balances aren't deposits or FDIC insured. Buyers pay vendors directly by Zelle, and vendors hold that money in their own bank accounts.

Zelle and the Zelle related marks are registered trademarks of Early Warning Services, LLC. VENDA WALLET IS NOT AUTHORIZED, ENDORSED, OR SPONSORED BY EARLY WARNING SERVICES, LLC, OWNER OF THE ZELLE® MARKS. Venda Wallet isn't affiliated with Zelle or any bank. Your bank's Zelle terms apply to every Zelle payment you make or receive, and banks only allow business payments on Zelle for small business.

Balances

  • A balance is prepaid credit issued by the vendor. The vendor, not Venda Wallet, owes it to you and is responsible for honoring it.
  • Each card can be spent only at its own vendor. We can't pay out, cash out or move a balance to another vendor.
  • We don't charge fees on balances and don't make them expire.
  • In California, if your balance with a vendor drops under $10, you can ask the vendor to pay it back to you, as California's gift certificate law requires. Vendors pay it back by Zelle.
  • Money counts only once the vendor confirms they received it.

Buyers

  • Tap "I've sent" only after you have actually sent the Zelle payment. Reporting a payment you didn't make is fraud.
  • Check the name your bank shows before you send. Zelle payments usually can't be reversed, by us or by your bank.
  • Neither Zelle nor your bank offers purchase protection for Zelle payments. Only prepay vendors you know and trust, and only add what you expect to spend with them.
  • Charges above $25, or above your balance, need your approval on your phone. Keep your phone locked; anyone who can open your pay code can spend up to $25 at a time.
  • A gift leaves your card when you send it, and anyone with its link can claim it. Share the link only with the person it's for.
  • If something looks wrong, use "Something's wrong" on the receipt to tell the vendor.

Vendors

  • You're an independent business. You, not Venda Wallet, sell your goods and are responsible for them, your prices, receipts, sales tax, licenses, permits, food safety and any product claims.
  • Take Venda Wallet payments only on a business bank account enrolled in your bank's Zelle service for small businesses, never on a personal Zelle profile. You confirm this when you agree to these terms. If your bank limits or closes your Zelle, email us to pause your card and refund customers who can't spend their balance.
  • Balances are prepaid credit you owe your customers. Honor them. Venda Wallet never makes a balance expire or charges fees on it. You're responsible for the gift card, prepaid and unclaimed property laws of your state, including any duty to report, refund or remit balances that go unused. In California, pay back a balance under $10 when the customer asks. The Customers screen lists balances unused for 12 months and lets you download them for your records.
  • Confirm money added only after you see the Zelle payment in your own bank account. Confirm or decline promptly. If you can't confirm one, refund the Zelle.
  • If you stop selling, refund remaining balances by Zelle before you leave.
  • You can add credit back to a card, but you can never remove it or type in a balance.
  • Use what you see about your customers only to serve them through Venda Wallet.

Organizers

Organizers keep their market's listing up to date and see which vendors sell there. They don't approve vendors, check payment details or take part in payments, and they act for their own market, not for us.

Using Venda Receipts

Venda Receipts is a money and rent receipt book for landlords, childcare providers, teachers, caregivers and anyone else who takes payments. It keeps records only: Venda never holds, moves or checks payments. Everyone who issues receipts agrees to these terms at setup (version 2026-11-06.1):

  • Receipts are issued by you, not by Venda. Issue a receipt only for money you actually received.
  • Venda keeps your records. It never holds, moves or checks payments, and a receipt is not proof from Venda that a payment happened.
  • You have the right to enter the names, emails and addresses of the people who pay you, and you use them only to give them receipts.
  • A wrong receipt can't be edited. Void it with a reason and issue a new one. Nothing is deleted.
  • The people you give receipts to can ask to stop receipt emails or for their data. Venda will honor that.
  • Venda Receipts is a receipt book, not payroll. It doesn't withhold or file taxes for you or for anyone you pay or who pays you.
  • The year summary adds up your own receipts for your tax preparer. It isn't tax advice.

Every receipt says who issued it and that Venda doesn't check payments. Questions about a payment go to whoever issued the receipt.

API keys and AI agents

Anything done with your API key, including by an AI agent you connect, counts as done by you. Agents must never report a Zelle that wasn't sent or confirm money added without checking the bank.

Things you can't do

  • Report payments you didn't make, confirm payments you didn't receive, or otherwise cheat other people.
  • Use Venda Wallet for anything illegal, including selling illegal goods, laundering money or getting around sanctions.
  • Pretend to be someone else, use someone else's bank account, or interfere with or probe the service.

We may pause or close accounts and vendors that break these terms or put others at risk, and we may share records with authorities when the law requires it.

Fees

Venda Wallet is free for buyers and vendors. Your bank's Zelle terms, including any fees and limits, apply to your Zelle payments. Some banks charge business accounts for Zelle for small business.

Records

Every balance change is kept in a history that can't be edited, along with a log of important actions and what each person agreed to. We use these records to show what happened in a dispute.

Disputes between buyers and vendors

Payment disputes, including money added that the vendor hasn't confirmed, are solely between the buyer and the vendor. Neither Venda Wallet nor market organizers hold, move, reverse, refund or decide payments, and neither acts as an escrow agent, arbitrator or collector. Reporting a problem only shares the record with the vendor; any refund or credit is the vendor's decision, except where the law requires one. To the extent the law allows, you release Venda Wallet and market organizers from claims arising from disputes with other users.

If you're a California resident, you waive California Civil Code section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

No warranty

We work hard to keep the app available and the records accurate, but the service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement, and we don't promise the app will always be available or free of errors.

Limits on our liability

To the extent the law allows, Venda Wallet isn't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or data; for losses from Zelle payments, from payments made outside the app, or from a vendor's failure to honor or refund a balance; or for anything another user does. Our total liability for any claim is limited to $100. Some states don't allow some of these limits, so they may not all apply to you.

Your responsibility to us

To the extent the law allows, you'll cover our reasonable costs, including legal fees, from claims by others that arise from your breaking these terms or the law, or, for vendors, from your goods and your handling of customer balances.

Governing law and disputes with us

  • Before filing a claim against us, email us so we can try to resolve it informally within 30 days.
  • California law governs these terms and any dispute with us, without regard to conflict of law rules.
  • Either of us can bring a claim in small claims court if it qualifies. Otherwise, claims go to the state or federal courts in California, and you and we agree to their jurisdiction.
  • Nothing here takes away rights you have under the consumer protection laws of the state where you live.

California users

Under California Civil Code section 1789.3, California users are entitled to this notice: Venda Wallet is free to use. You can reach us at hello@vendawallet.com. You can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.

General

  • These terms, with the Privacy policy, are the whole agreement between you and us about Venda Wallet.
  • If a court finds part of these terms unenforceable, the rest still applies.
  • If we don't enforce a part of these terms right away, we can still enforce it later.
  • You can't transfer your account or these terms to someone else. We may transfer them to a company that takes over Venda Wallet.
  • We can close Venda Wallet. If we do, we'll tell you at least 30 days ahead so buyers can spend their balances and vendors can refund what's left.

Changes

If we change these terms in a way that matters, we'll tell you in the app or by email, and the app will ask you to agree to the new version before you can keep adding money, paying or selling. You can close your account instead.
